Terms of Service.

Effective date: February 25, 2026

These Terms of Service govern your access to and use of Vitor. By using Vitor, you agree to these terms. If you do not agree, do not use the service.

1. Eligibility and Accounts

You must be at least 18 years old to use Vitor.

  • You are responsible for your account, connected services, and activity under your account.
  • You must provide accurate information and keep access credentials secure.
  • You must promptly notify us of unauthorized account access.

2. Service Description

Vitor is an AI-powered autonomous operations platform. Depending on your configuration and enabled features, the Service may:

  • Execute AI-driven workflows that plan, create content, execute engineering tasks, and interact with third-party tools and APIs.
  • Create, manage, and spend money on digital advertising campaigns on your behalf, including on platform-managed advertising accounts (see Section 5A).
  • Send outbound communications, including emails, on your behalf or at your direction (see Section 5B).
  • Provision, deploy, and manage cloud infrastructure resources such as code repositories, databases, and hosted web services (see Section 5C).
  • Generate AI content including text, images, video, and audio using third-party AI models (see Section 6A).
  • Operate automated browser sessions that navigate websites, fill forms, click elements, and extract data.
  • Perform scheduled autonomous operations on recurring schedules without requiring per-execution approval (see Section 5D).

You are responsible for reviewing outputs, monitoring costs, and controlling permissions and integrations. Vitor acts as your authorized agent when performing actions on connected services.

Vitor is not a law firm, financial advisor, or regulated fiduciary. Do not rely on Vitor as your sole source for legal, medical, tax, or regulatory decisions.

3. Connected Accounts and Authorization

Connected services fall into two categories:

  • User-connected services. External services you connect via OAuth or API credentials (for example, GitHub, Gmail, social media accounts). You authorize Vitor to access and use these connections to provide the Service.
  • Platform-managed services. For certain features, Vitor may operate shared platform accounts on your behalf (for example, a shared advertising account for Meta Ads). In these cases, Vitor acts as your authorized agent using platform-owned credentials. You remain responsible for the content and targeting of campaigns run on your behalf, and for compliance with the applicable platform's policies.
  • You are responsible for permissions granted to Vitor in those services.
  • You must comply with third-party platform terms.
  • We are not liable for third-party outages, suspensions, policy changes, or API limitations.

For infrastructure provisioning features, Vitor may create and store credentials (such as database connection strings and API tokens) for resources provisioned on your behalf. These credentials are encrypted at rest using AES-256-GCM encryption.

4. Acceptable Use

You may not use Vitor to:

  • Break laws, violate rights, or bypass platform restrictions.
  • Send spam, run abusive automation, or perform unauthorized scraping.
  • Upload malware, attempt unauthorized access, or interfere with service integrity.
  • Use Vitor in high-risk contexts without qualified human oversight.
  • Use advertising features to promote prohibited products, services, or content under the applicable advertising platform's policies.
  • Use outbound communication features in violation of CAN-SPAM, GDPR, or other applicable anti-spam laws.
  • Use browser automation to circumvent access controls, CAPTCHAs, login protections, or other security measures on third-party sites.
  • Use AI content generation to create deceptive, misleading, or harmful content, including deepfakes or impersonation content.
  • Exceed or attempt to circumvent platform rate limits, budget caps, or usage quotas.

5. Billing, Trials, and Refunds

Paid plans are billed through Stripe and may include recurring subscriptions, add-ons, and usage-based components. Pricing shown in-product controls if any summary text conflicts.

  • Subscriptions renew automatically until canceled.
  • Cancellations apply at the end of the active billing period unless stated otherwise at checkout.
  • In addition to subscription fees, certain features incur usage-based charges including advertising spend (see Section 5A) and AI content generation credits.
  • By saving a payment method, you authorize Vitor to charge it for both recurring subscription fees and usage-based charges (including daily ad spend) without requiring additional confirmation for each charge.
  • Payments are non-refundable except as required by law.
  • We may update pricing or packaging prospectively.

5A. Advertising Services and Ad Spend

If you enable advertising features, Vitor will create and manage digital advertising campaigns on your behalf using a platform-managed advertising account.

(a) Ad Spend Authorization. By enabling advertising features and setting a daily budget, you authorize Vitor to:

  • Create advertising campaigns, ad sets, and individual ads on your behalf.
  • Spend up to your configured daily budget on advertising, plus an applicable platform fee (currently 20% of your daily budget).
  • Charge your saved payment method daily for incurred ad spend and platform fees.
  • Generate and upload AI-created video and image creatives to advertising platforms.
  • Pause campaigns automatically if payment fails or a policy issue arises.

(b) Daily Charges. Ad spend charges are processed daily via Stripe using your saved payment method. Charges are off-session (processed without requiring you to be present). If your payment method declines, advertising campaigns will be automatically paused until payment is resolved.

(c) Budget Limits. You may set a daily budget between $10 and $1,000 USD. Vitor will not exceed your configured daily budget per day, but advertising platforms may deliver spend at varying rates, and actual charges may fluctuate around the daily budget.

(d) Platform Fee. A platform fee (currently 20%) is applied to all ad spend. For example, a $100 daily budget results in approximately $80 allocated to ad spend and $20 as a platform fee. We may adjust the fee rate prospectively with notice.

(e) Shared Ad Account. Advertising campaigns run through a Vitor-managed platform advertising account, not your personal advertising account. Vitor manages campaign structure, targeting parameters, and creative rotation on your behalf.

(f) Content Responsibility. While Vitor's AI agents create ad content autonomously, you are ultimately responsible for ensuring ad content and targeting comply with applicable advertising platform policies. Vitor is not liable for ad disapprovals, account restrictions, or policy violations imposed by the advertising platform.

(g) Conversion Tracking. If you enable conversion tracking, Vitor may create a Meta Pixel for your company and send server-side conversion events (such as Purchase and Lead events) to Meta via the Conversions API. This involves sending hashed personal identifiers (email, user ID) along with event metadata. See our Privacy Policy for details.

(h) Refunds. Ad spend that has been committed to advertising platforms is non-refundable. Platform fees on delivered ad spend are non-refundable. If a campaign is paused or terminated before the budget is fully spent, no charge will be made for unspent portions.

5A-2. Revenue, Payment Processing, and Withdrawals

If you use Vitor to accept payments from your customers (via payment links or subscription links), the following terms apply:

(a) Vitor's Role. Vitor acts as a technology platform that facilitates payment processing between you and your customers. Vitor is not a bank, money transmitter, or merchant of record. Payments are processed by Stripe under Stripe's terms of service. You are the merchant of record for transactions with your customers.

(b) Platform Fee. Vitor charges a platform fee (currently 20%) on all customer payments received through the Service. For example, a $100 customer payment results in $80 credited to your company balance and $20 retained by Vitor. We may adjust the fee rate prospectively with notice.

(c) Hold Period. Funds from customer payments are subject to a hold period (currently 14 days) before becoming available for withdrawal. This hold protects against chargebacks and fraud.

(d) Withdrawals via Stripe Connect. To withdraw funds, you must create a Stripe Connect Express account, which requires identity verification (KYC) as required by Stripe and applicable law. Withdrawals are subject to a minimum amount (currently $50 USD) and a monthly cap (currently $500 USD per calendar month). Vitor may adjust these limits prospectively. Stripe's terms of service and Stripe's Connected Account Agreement apply to your Express account.

(e) Recurring Customer Subscriptions. If you create subscription products, your customers will be billed on a recurring basis through Stripe until they cancel. You are responsible for compliance with applicable auto-renewal laws (including providing clear cancellation mechanisms and renewal disclosures to your customers). Vitor provides the technical infrastructure but does not assume your compliance obligations to your customers.

(f) Refunds, Chargebacks, and Disputes. If a customer payment is refunded or disputed (including chargebacks), the full gross amount will be deducted from your company balance, including any platform fee already retained. If your balance is insufficient, you are responsible for the shortfall. Repeated chargebacks or disputes may result in suspension of payment features.

(g) Tax Reporting. You are solely responsible for reporting income received through the Service to applicable tax authorities. Vitor may issue tax information forms (such as IRS Form 1099-K) where required by law. Vitor does not provide tax advice.

(h) Payment Processing. All customer payments are processed through Stripe. Vitor does not store full card numbers. Stripe's processing fees apply in addition to Vitor's platform fee.

5B. Outbound Communications

Vitor may send outbound emails in several contexts:

  • Operational emails. Service communications related to authentication, billing, onboarding, and account activity.
  • Business communications. If you configure email automation features, Vitor may send emails on your behalf to individuals you specify, using AI-generated content. You are responsible for ensuring you have the legal basis to contact each recipient.
  • Follow-up emails. Automated follow-up emails may be sent after an initial outbound message if no response is received. Follow-up frequency is rate-limited.

Outbound communications are rate-limited and include opt-out mechanisms. Recipients may opt out of further communications at any time.

5C. Infrastructure Provisioning

If you enable infrastructure features, Vitor may create cloud resources on your behalf, including:

  • Source code repositories (GitHub)
  • Managed databases (Neon PostgreSQL)
  • Hosted web services (Render)
  • Mobile application builds (Expo)

(a) Resource Ownership. Cloud resources are provisioned under Vitor-managed platform accounts unless you connect your own provider credentials. You retain ownership of the source code and data within those resources.

(b) Costs. Cloud resource costs for resources provisioned under Vitor platform accounts are included in your subscription or charged as described in-product. If you connect your own provider credentials, you are responsible for costs incurred on your own accounts.

(c) Teardown. You may request teardown of provisioned resources through the platform. Upon teardown, all associated cloud resources (repositories, databases, services) will be permanently deleted. This action is irreversible.

(d) Data Responsibility. You are responsible for exporting any data or code you wish to retain before requesting resource teardown or account deletion.

(e) Credential Storage. Database credentials, API tokens, and deployment configuration for provisioned resources are stored encrypted using AES-256-GCM and are accessible only to authorized agents operating on behalf of your company.

5D. Autonomous Scheduled Operations

Vitor operates certain functions on automated schedules without requiring per-execution approval, including:

  • Daily ad spend billing and campaign reconciliation
  • Ad metrics synchronization with advertising platforms
  • Failed ad upload retries
  • Outbound communication drip sequences
  • Trial expiration and subscription enforcement
  • Operating cycle triggers for active companies

By enabling features that involve scheduled operations (such as advertising, outreach, or infrastructure), you authorize Vitor to execute these operations on the configured schedule. You may disable specific features at any time through your account settings, which will stop related scheduled operations.

6. Ownership and Licenses

You retain ownership of content you provide and, as between you and Vitor, outputs generated specifically for your use. Vitor retains ownership of the platform, software, models orchestration, templates, and underlying technology.

  • You grant Vitor a license to host, process, and use your content to operate and improve the service.
  • You represent that you have rights to content you provide and authorize us to process it.

6A. AI-Generated Content

Vitor uses multiple AI models and services to generate content, including text, video, images, and audio.

(a) No Guarantee of Accuracy. AI-generated content may contain errors, inaccuracies, or inappropriate material. You are responsible for reviewing all generated content before use, publication, or distribution.

(b) Advertising Content. AI-generated content used in advertising campaigns is subject to the advertising platform's content policies. Vitor is not liable for content rejections, ad disapprovals, or policy violations arising from AI-generated advertising content.

(c) Intellectual Property. As between you and Vitor, you own outputs generated for your use, subject to any rights retained by the underlying AI model providers in their respective terms of service. You represent that you will not use AI-generated content in ways that infringe third-party intellectual property rights.

(d) Content Storage. Generated media is stored on Cloudflare R2 and may be uploaded to third-party platforms (such as Meta, social media services) as directed by your configuration.

6B. AI Proxy and API Access

Vitor may provide API endpoints (including OpenAI-compatible interfaces) that allow your agents and integrations to access AI models through the platform.

  • API access is subject to rate limits and usage quotas based on your subscription tier.
  • Vitor routes requests to underlying AI model providers (Anthropic, OpenAI, Google, and others) at its discretion. Model availability is not guaranteed.
  • Prompts and outputs transmitted through the API are subject to the same data handling practices described in our Privacy Policy.
  • You are responsible for the content of API requests and for ensuring outputs are used in compliance with these terms and applicable law.
  • Vitor does not guarantee uptime, latency, or availability of API endpoints.

6C. Referral Credits

Vitor may offer referral programs where you or referred users receive credits or other incentives. Referral credits have no cash value, are non-transferable, and may expire. Vitor may modify or discontinue referral programs at any time. Abuse of referral programs (including self-referrals or fraudulent accounts) may result in credit forfeiture and account suspension.

6D. Multi-User Teams

Multiple users may belong to the same company with different roles (such as owner, admin, or member). The company owner is responsible for managing team membership, permissions, and access controls. Vitor is not responsible for unauthorized access resulting from the owner's failure to manage team permissions. If a company ownership dispute arises, Vitor may freeze the account until the dispute is resolved and may rely on the account holder of record.

7. Public Dashboards, Subdomains, and Hosted Content

(a) Public Company Dashboards. Companies on Vitor may have a public dashboard that displays business activity, including execution logs, metrics, social media posts, and other operational data. Public dashboards are enabled by default and may be indexed by search engines. You can control your company's public visibility through your account settings. You are responsible for reviewing what data is visible on your public dashboard.

(b) Subdomains. Each company may be assigned a subdomain (for example, yourcompany.vitor.app) with an auto-generated landing page. These pages are hosted by Vitor and may be publicly accessible and indexed by search engines.

(c) Content Responsibility. You are responsible for all content displayed on your public dashboard and subdomain landing page, including AI-generated content. Vitor may remove or disable access to content that violates these terms, applicable law, or third-party rights (including in response to DMCA or similar takedown requests).

(d) Post-Termination. Public dashboards and subdomains are disabled upon account termination. Vitor does not guarantee continued availability of any subdomain or URL after termination.

Vitor may also display anonymized or summarized activity across companies on platform-wide public-facing pages (such as a live dashboard) to showcase how the platform works. No sensitive data, credentials, or private content is exposed in these displays.

8. Privacy and Communications

Our data practices are described in the Privacy Policy. By using Vitor, you consent to service communications related to authentication, account activity, billing, and operations.

9. Cookies and Tracking

Vitor uses cookies and similar technologies for security, authentication, core functionality, diagnostics, and marketing attribution. This includes session cookies and attribution identifiers such as _fbp and _fbc where applicable.

By continuing to use Vitor, you acknowledge this cookie usage. You can manage cookies through your browser settings, but disabling required cookies may impact core product functionality.

10. Disclaimers

Vitor is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness, merchantability, non-infringement, or uninterrupted availability.

  • We do not guarantee that advertising campaigns will achieve specific results, that ads will be approved by advertising platforms, or that AI-generated content will be error-free.
  • We do not guarantee uptime, delivery, or performance of third-party infrastructure provisioned on your behalf.

11. Limitation of Liability

To the maximum extent permitted by law, Vitor and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business interruption.

Our aggregate liability for claims arising out of or relating to the service will not exceed the greater of (a) amounts you paid to Vitor for platform fees and subscriptions (excluding pass-through advertising spend, customer revenue pass-through, infrastructure costs, and third-party service charges) in the 12 months before the event giving rise to liability, or (b) $100 USD.

Without limiting the above, Vitor will not be liable for:

  • Advertising spend charged to your payment method and passed through to advertising platforms.
  • Costs of cloud resources provisioned at your direction.
  • Revenue or opportunities lost due to ad campaign pauses, content rejections, or platform policy enforcement by third parties.
  • Actions taken by AI agents within the scope of your configured permissions and settings.
  • Content generated by AI models that is rejected, removed, or flagged by third-party platforms.
  • Customer payment disputes, chargebacks, or refunds processed through the Service.
  • Data you choose to make publicly visible on dashboards or subdomain landing pages.

12. Indemnity

You agree to indemnify and hold harmless Vitor from claims, losses, and expenses arising from:

  • Your use of the service and your content.
  • Actions taken by agents within your configured permissions.
  • Advertising content created or distributed on your behalf that violates third-party platform policies or applicable law.
  • Outbound communications sent on your behalf or at your direction.
  • Cloud resources provisioned and deployed at your direction.
  • Content displayed on your public dashboard or subdomain.
  • Disputes with your customers arising from payment processing, subscriptions, or chargebacks.
  • Your violation of these terms, applicable law, or third-party terms of service.

13. Dispute Resolution; Arbitration; Class Action Waiver

Before filing a claim, both parties agree to attempt informal resolution for at least 30 days by contacting legal@vitor.com.

If unresolved, disputes will be resolved by binding arbitration on an individual basis, except either party may bring qualifying claims in small claims court. Class and representative actions are not permitted.

If arbitration terms are unenforceable for a specific claim, that claim will be resolved exclusively in state or federal courts located in Delaware, and Delaware law will govern to the extent permitted by law.

14. Suspension and Termination

We may suspend or terminate access if we reasonably believe your use creates legal, security, abuse, or operational risk, or violates these terms.

Upon termination:

  • Active advertising campaigns will be paused immediately. No charge will be made for unspent budget.
  • Provisioned cloud infrastructure will remain accessible for 30 days unless you request earlier teardown. After 30 days, resources may be permanently deleted.
  • Scheduled operations will cease.
  • You may export your data during the 30-day post-termination period.

15. Changes to These Terms

We may update these terms periodically. The "Effective date" above reflects the current version. Continued use after an update constitutes acceptance of the updated terms.
